Because Disney is one of the biggest forces in media, and dwarfs anything Marvel could do. It opened doors in Hollywood (more freedom with movies, cartoons, etc.) and gave Disney a library of new characters to work with.
Just because you're doing fine doesn't mean turning down
$4 BILLION is a good idea.
And Marvel's movie division was still acting on an initial loan they took out to finance their first five movies.
IIRC, it was something like $550 Million that was supposed to be used for up to five movies, which has since obviously been used up on the first few movies' budgets and marketing.
Marvel was just a comic book company - not a media conglomerate. They didn't have Warner Bros. backing like DC in other entertainment fields. The Disney move was a good one.
